Common use of Filing of Articles of Dissolution Clause in Contracts

Filing of Articles of Dissolution. If the Company is dissolved, the Operating Board shall promptly file Articles of Dissolution with the Secretary of State. If there is no Operating Board, the Articles shall be filed by the Members; if there are no remaining Members, the Articles shall be filed by the last Person to be a Member; if there are no remaining Members, or a Person who last was a Member, the Articles shall be filed by the legal or personal representatives of the Person who last was a Member.
