Common use of Filing of Canadian Prospectus Supplement and U.S. Prospectus Supplement Clause in Contracts

Filing of Canadian Prospectus Supplement and U.S. Prospectus Supplement. (i) The Canadian Prospectus Supplement will have been filed with each Canadian Authority and the U.S. Prospectus Supplement will have been filed with the Commission in accordance with the requirements of Section 1(a) of this Agreement; (ii) no stop order suspending the effectiveness of the Registration Statement or any post-effective amendment thereto, and no stop order suspending or preventing the use of any U.S. Preliminary Prospectus, any Issuer Free Writing Prospectus or the U.S. Prospectus shall have been issued under the 1933 Act or the 1933 Act Regulations or proceedings therefor initiated or threatened by the Commission; (iii) no order having the effect of ceasing or suspending the Distribution, or trading in the Common Shares or any other securities of the Company shall have been issued or proceedings therefor initiated or threatened by the Securities Commissions; and (iv) any request on the part of the Canadian Authorities or the Commission for additional information shall have been complied with to the reasonable satisfaction of counsel to the Underwriters.
