Filing of Certificate of Cancellation. If the Company is dissolved, the Board shall promptly file a Certificate of Cancellation with the Delaware Secretary of State. If there are no remaining Managers, the Certificate shall be filed by the last Person to be a Manager; if there are no remaining Managers, or a Person who last was a Manager, the Certificate shall be filed by the Members or the Person who last was a Member.
