The Company shall have filed with the Secretary of State of the State of Delaware the Certificate to (a) effect the Reverse Stock Split and (b) effect any other changes to the Company's certificate of incorporation as are necessary to complete the transactions contemplated hereby, including, but not limited to, potentially increasing the number of authorized shares of Common Stock of the Company.
