Common use of Filing of Current Report and Registration Statement Clause in Contracts

Filing of Current Report and Registration Statement. The Company agrees that it shall file a Current Report on Form 8-K, including the Transaction Documents as exhibits thereto, with the SEC within the time required by the Exchange Act, relating to the transactions contemplated by, and describing the material terms and conditions of, the Transaction Documents (the “Current Report”). The Company shall also file with the SEC, on or before May 30, 2021, a registration statement (the “Registration Statement”) covering the resale of the Put Shares.

The Company shall also file with the SEC, on or before May September 30, 20212020, a registration statement (the “Registration Statement”) covering the resale of the Put Shares.

The Company agrees that it shall file a Current Report on Form 8-K, including the Transaction Documents as exhibits thereto, with the SEC within the time required by the Exchange Act, relating to the transactions contemplated by, and describing the material terms and conditions of, the Transaction Documents (the “Current Report”). The Company shall also file with the SEC, on or before May 30July 18, 20212022, a registration statement (the “Registration Statement”) covering the resale of the Put Shares.
