Common use of Filing of Final Prospectus Clause in Contracts

Filing of Final Prospectus. The Company will file the Prospectus (in form and substance reasonably satisfactory to the Representative) with the Commission pursuant to the requirements of Rule 424 that discloses the information previously omitted from the prospectus in the Registration Statement in reliance upon Rule 430A, which information will be deemed retroactively to be a part of the Registration Statement in accordance with Rule 430A.
