Common use of Filing of Final Prospectus Clause in Contracts

Filing of Final Prospectus. The Company will file the Prospectus (in form and substance reasonably satisfactory to the Representative) with the Commission pursuant to the requirements of Rule 424 of the Regulations. If the Company elects to rely on Rule 462(b) of the Regulations, the Company shall file a Rule 462(b) Registration Statement by 10:00 P.M., New York time, on the date of this Agreement, and the Company shall at the time of filing either pay to the Commission the filing fee for the Rule 462(b) Registration Statement or give irrevocable instructions for the payment of such fee pursuant to Rule 111(b) of the Regulations.
