Common use of Filing of Prospectus and Effectiveness of Registration Statement Clause in Contracts

Filing of Prospectus and Effectiveness of Registration Statement. If the Registration Statement has not become effective prior to execution of this Agreement, unless the Representatives and the lead managers for the International Underwriters agree in writing to a later time, the Registration Statement shall have become effective not later than (i) 6:00 p.m. on the date of determination of the public offering price, if such determination occurred at or prior to 3:00 p.m. on such date or (ii) 9:30 a.m. on the business day following the day on which the public offering price was determined, if such determination occurred after 3:00 p.m. on such date; if filing is required pursuant to Rule 424(b), the Prospectus shall have been filed with the Commission pursuant to such Rule within the applicable time period prescribed for such filing by the rules and regulations under the 1933 Act and in accordance with Section 3(a) hereof; no stop order suspending the effectiveness of the Registration Statement or any part thereof shall have been issued and no proceeding for that purpose shall have been initiated or threatened by the Commission; and all requests for additional information on the part of the Commission shall have been complied with to the Representatives' reasonable satisfaction.
