Common use of Filings and Recordings Clause in Contracts

Filings and Recordings. To the extent not previously delivered in connection with the Existing Credit Agreement and still in effect, the Administrative Agent shall have received all filings and recordations that are necessary to perfect the security interests of the Administrative Agent, on behalf of the Secured Parties, in the Collateral and the Administrative Agent shall have received evidence reasonably satisfactory to the Administrative Agent that upon such filings and recordations such security interests constitute valid and perfected first priority Liens thereon (subject to Permitted Liens).

Filings and Recordings. To Except as agreed between the extent not previously delivered in connection Administrative Agent and the Borrower with the Existing Credit Agreement and still in effectrespect to certain items to be provided post-closing, the Administrative Agent shall have received all filings documents necessary for filing and recordations that are necessary recording to perfect the security interests of the Administrative Agent, on behalf of the Secured Parties, in the Collateral (or confirmation that such filings and recordings remain of record) and the Administrative Agent shall have received evidence reasonably satisfactory to the Administrative Agent that upon such filings and recordations such security interests constitute valid and perfected first priority Liens thereon (subject to Permitted Liens).
