Common use of Filings and Recordings Clause in Contracts

Filings and Recordings. All filings and recordations that are necessary to perfect the security interests of the Lenders in the collateral described in the Security Documents shall have been received by the Administrative Agent and the Administrative Agent shall have received evidence satisfactory to the Administrative Agent that upon such filings and recordations such security interests constitute valid and perfected first priority Liens therein.

Filings and Recordings. All filings and recordations that are necessary to perfect the security interests of the Lenders in the collateral described in the Security Documents shall have been received by the Administrative Agent forwarded for filing in all appropriate locations and the Administrative Agent shall have received evidence satisfactory to the Administrative Agent that upon such filings and recordations such security interests constitute valid and perfected first priority Liens therein.

Filings and Recordings. All filings and recordations that are necessary to perfect the security interests of the Lenders Administrative Agent, on behalf of the Secured Parties, in the collateral described in the Security Documents Collateral shall have been received by the Administrative Agent forwarded for filing in all appropriate locations and the Administrative Agent shall have received evidence satisfactory to the Administrative Agent thereto that upon such filings and recordations such security interests constitute valid and perfected first priority Liens therein, subject to any Liens permitted under Section 11.2.

All filings and recordations recordings (including, without limitation, all mortgages, fixture filings and transmitting utility filings) that are necessary to perfect the security interests of the Lenders Security Interest in the collateral Collateral described in the Security Documents shall have been received by the Administrative Agent filed or recorded in all appropriate locations and the Administrative Agent shall have received evidence satisfactory to the Administrative Agent that upon such filings and recordations such security interests constitute Security Interest constitutes a valid and perfected first priority Liens Lien therein.

All filings and recordations that are necessary to perfect the security interests of the Lenders in the collateral described in the Security Documents Documents, including, without limitation, the amendments and modifications to the Mortgages, shall have been received by the Administrative Agent and the Administrative Agent shall have received evidence satisfactory to the Administrative Agent thereto that upon such filings and recordations such security interests constitute valid and perfected first priority Liens therein, subject only to Permitted Liens.

All filings and recordations that are necessary to perfect the security interests of the Lenders in the collateral described in the Security Documents shall have been received by the Administrative Agent and the Administrative Agent shall have received evidence satisfactory to the Administrative Agent thereto that upon such filings and recordations such security interests constitute valid and perfected first priority Liens therein, subject only to Permitted Liens.

All filings and recordations that are necessary to perfect the security interests of the Lenders in the collateral described in the Security Documents Collateral Agreement and acquired by the Borrower or any of its Restricted Subsidiaries in connection with the Acquisition shall have been received by the Administrative Agent Agent, and the Administrative Agent shall have received evidence reasonably satisfactory to the Administrative Agent thereto that upon such filings and recordations such security interests constitute valid and perfected first priority Liens therein.

Filings and Recordings. All filings and recordations that are necessary to perfect the security interests of the Administrative Agent for the benefit of the Lenders in the collateral described in the Pledge and Security Documents Agreement shall have been received by the Administrative Agent and the Administrative Agent shall have received evidence satisfactory to the Administrative Agent that upon such filings and recordations such security interests constitute valid and perfected first priority Liens thereinthereon.

All filings and recordations that are necessary to perfect the security interests of the Lenders in the collateral described in the Security Documents Collateral shall have been received by the Administrative Agent and the Administrative Agent shall have received evidence satisfactory to the Administrative Agent that upon such filings and recordations such security interests constitute valid and perfected first priority Liens therein.

All filings and recordations that are necessary to perfect the security interests of the Lenders in the collateral described in the Security Documents shall have been received by the Administrative Collateral Agent and the Administrative Collateral Agent shall have received evidence satisfactory to the Administrative Agent that upon such filings and recordations such security interests constitute valid and perfected first priority Liens therein.

All filings and recordations that are necessary to perfect the security interests of the Lenders Administrative Agent, on behalf of itself and the Lenders, in the collateral described in the Security Documents Collateral shall have been received by the Administrative Agent and the Administrative Agent shall have received evidence satisfactory to the Administrative Agent that upon such filings and recordations such security interests constitute valid and perfected first priority Liens therein.;

All filings and recordations that are necessary to perfect the security interests of the Lenders Administrative Agent in the collateral Collateral described in the Security Documents shall have been received by the Administrative Agent and the Administrative Agent shall have received evidence satisfactory to the Administrative Agent that upon such filings and recordations such security interests constitute valid and perfected first priority Liens therein, subject to Permitted Liens.

All filings and recordations that are necessary to perfect the security interests of the Lenders in the collateral described in the Security Documents (including, without limitation, all filings and recordations in the real estate records necessary to perfect the security interests of the Lenders created pursuant to any Collateral Assignment) shall have been received by the Administrative Agent and the Administrative Agent shall have received evidence satisfactory to the Administrative Agent that upon such filings and recordations such security interests constitute valid and perfected first priority Liens therein.

All filings and recordations that are necessary to perfect the security interests of the Administrative Agent and the Lenders in the collateral described in the Security Documents shall have been received by the Administrative Agent forwarded for filing in all appropriate locations and the Administrative Agent shall have received evidence reasonably satisfactory to the Administrative Agent that upon such filings and recordations such security interests constitute valid and perfected first priority Liens thereintherein (except for Permitted Liens).

All filings and recordations that are necessary to perfect the security interests of the Lenders in the collateral described in the Security Documents shall have been made or shall have been received by the Administrative Agent and the Administrative Agent shall have received evidence satisfactory to the Administrative Agent that upon such filings and recordations such security interests will constitute valid and perfected first priority Liens thereintherein (subject to Permitted Liens).

All filings and recordations that are necessary to perfect the security interests of the Lenders in the collateral described in the Security Documents shall have been received by the Administrative Collateral Agent and the Administrative Collateral Agent shall have received evidence satisfactory to the Administrative Collateral Agent that upon such filings and recordations such security interests constitute valid and perfected first priority Liens therein.

All filings and recordations that are necessary to perfect the security interests of the Lenders in the collateral described in the Security Documents shall have been received by the Administrative Agent and the Administrative Agent shall have received evidence satisfactory to the Administrative Agent that upon such filings and recordations such security interests will constitute valid and perfected first priority Liens thereintherein (subject to Permitted Liens).

All filings and recordations that are necessary to perfect the security interests of the Lenders Administrative Agent, on behalf of itself and the Secured Parties, in the collateral described in the Security Documents Collateral shall have been received by the Administrative Agent forwarded for filing in all appropriate locations and the Administrative Agent shall have received evidence satisfactory to the Administrative Agent that upon such filings and recordations such security interests will constitute valid and perfected first priority Liens thereinthereon.

All filings and recordations that are necessary to perfect the security interests of the Lenders in the collateral Collateral described in the Security Documents shall have been received by the Administrative Agent Agent, and the Administrative Agent shall have received evidence satisfactory to the Administrative Agent that upon such filings and recordations such security interests shall constitute valid and perfected first priority Liens thereinthereon, subject only to Liens previously disclosed in writing to Administrative Agent and approved by Administrative Agent.

Filings and Recordings. All filings and recordations that are necessary to perfect the security interests of the Lenders in the collateral described in the Security Documents shall have been received by the Administrative Agent and the Administrative Agent shall have received evidence satisfactory to the Administrative Agent thereto that upon such filings and recordations such security interests constitute valid and perfected first priority Liens therein.

All filings and recordations that are necessary to perfect the security interests of the Lenders in the collateral described in the Security Documents (as in effect on the Original Closing Date) shall have been received by the Administrative Agent and the Administrative Agent shall have received evidence satisfactory to the Administrative Agent that upon such filings and recordations such security interests constitute valid and perfected first priority Liens therein.
