Common use of Filings and Recordings Clause in Contracts

Filings and Recordings. All filings and recordations that are necessary to perfect the security interests of the Lenders in the collateral described in the Security Documents shall have been forwarded for filing in all appropriate locations and the Administrative Agent shall have received evidence satisfactory thereto that upon such filings and recordations such security interests constitute valid and perfected first priority Liens therein, subject to any Liens permitted under Section 11.2.

Filings and Recordings. All filings and recordations that are ---------------------- necessary to perfect the security interests of the Lenders in the collateral described in the Security Documents shall have been forwarded for filing in all appropriate locations and the Administrative Agent shall have received evidence satisfactory thereto to the Administrative Agent that upon such filings and recordations such security interests constitute valid and perfected first priority Liens therein, subject to any Liens permitted under Section 11.2.

All filings and recordations that are necessary to perfect the security interests of the Lenders in the collateral described in the Security Documents shall have been forwarded for filing in all appropriate locations properly executed and delivered by the Borrowers and the Administrative Agent shall have received evidence satisfactory thereto be reasonably satisfied that such security interests, upon proper filing of such filings and recordations such security interests recordations, shall constitute valid and perfected first priority Liens therein, subject to any Liens permitted under Section 11.2.

Filings and Recordings. All filings and recordations that are necessary to perfect the security interests of the Lenders in the collateral described in the Security Documents shall have been forwarded for filing in all appropriate locations and the Administrative Agent shall have received evidence satisfactory thereto to the Administrative Agent that upon such filings and recordations such security interests constitute valid and perfected first priority Liens therein, subject to any Liens permitted under Section 11.2therein except for Permitted Liens.

All filings and recordations that are necessary to perfect the security interests of the Lenders in the collateral Collateral described in the Security Documents shall have been duly executed by the Borrower and forwarded for filing in all appropriate locations and the Administrative Agent shall have received evidence satisfactory thereto to the Administrative Agent that upon such filings and recordations once filed such security interests will constitute valid and perfected first priority Liens therein, subject to any Liens permitted under Section 11.2.

All filings and recordations recordation that are necessary to perfect and/or to continue the perfection of the security interests of the Lenders in the collateral described in the Security Documents shall have been forwarded for filing in all appropriate locations and the Administrative Agent shall have received evidence satisfactory thereto to the Agent that upon such filings and recordations such security interests will constitute valid and perfected first priority Liens therein, subject to any Liens permitted under Section 11.2.

All filings and recordations that are necessary to perfect the security interests of the Lenders in the collateral described in the Security Documents Collateral shall have been forwarded for filing filed or recorded in all appropriate locations and the Administrative Agent shall have received evidence satisfactory thereto to the Agent that upon such filings and recordations such security interests constitute valid and perfected first priority Liens therein, subject only to any Liens permitted under pursuant to in Section 11.29.3.

All filings and recordations that are necessary to perfect the security interests of the Lenders in the collateral described in the Security Documents shall have been forwarded for filing in all appropriate locations and the Administrative Agent shall have received evidence satisfactory thereto to the Administrative Agent that such security interests upon such filings and recordations such security interests constitute valid and perfected first priority Liens therein, subject to any Liens permitted under Section 11.2.
