Filings; Consents; Waiting Periods. All registrations, ---------------------------------- filings, applications, notices, consents, approvals, orders, qualifications and waivers listed in Schedule 3.8(b) or 4.3 and indicated therein as being a condition to the Closing for Buyer shall have been filed, made or obtained, and all waiting periods applicable under the HSR Act shall have expired or been terminated.
