Common use of Filings; Consents; Waiting Periods Clause in Contracts

Filings; Consents; Waiting Periods. All registrations, filings, applications, notices, consents, approvals, orders, qualifications and waivers listed on Schedule 3.13 or 4.3 hereto and indicated therein as being a condition to the Closing for Buyer shall have been filed, made or obtained, and all waiting periods applicable under the HSR Act shall have expired or been terminated. Notwithstanding anything herein to the contrary, no approval or other consent, order, qualification or waiver of any governmental authority pursuant to any foreign law, rule or regulation shall be a condition to Buyer's obligation to consummate the Stock Purchase.
