Final Documentation; Retainage Withheld. Provider shall close out this Award within forty-five (45) days after the End Date, unless otherwise agreed in writing by OSIT. To complete closeout, Provider shall submit to OSIT all deliverables (including documentation) as defined in this Agreement and the closeout procedures, and Provider’s final request for payment. The State will withhold up to ten percent (10%), or the unpaid balance of the total fixed award until all Milestones have been achieved, the Work required by this Agreement is completed, all final documentation has been submitted and accepted by the State. The withheld percentage of the price of any such Work, improvement, or construction shall be retained until the Work or that portion of incomplete Work has been completed satisfactorily and accepted by OSIT in writing.
