Common use of Final Financial Information Clause in Contracts

Final Financial Information. Not later than thirty (30) days following Closing, Seller, at Seller's sole cost and expense, shall deliver to Buyer "FINAL FINANCIAL INFORMATION", which shall include: (i) a balance sheet of Seller as of the Closing Date prepared in accordance with GAAP; (ii) an income statement of Seller for the period commencing on the date succeeding the last day of the most recent Financial Statement Date and ending on the Closing Date; (iii) an inventory of fixed assets of Seller as of the Closing Date; (iv) an inventory of supplies of Seller as of the Closing Date; and (v) a cash settlement statement of Seller as of the Closing Date.

Not later than thirty forty-five (3045) days following Closing, Seller, at Seller's sole cost and expense, shall deliver to Buyer "FINAL FINANCIAL INFORMATION", which shall include: (i) a balance sheet of Seller as of the Closing Date date hereof, prepared in accordance with GAAP; (ii) an income statement of Seller for the period commencing on the date succeeding the last day of the most recent Financial Statement Date and ending on the Closing Date; (iii) an inventory of fixed assets of Seller as of the Closing Date; (iv) an inventory of supplies of Seller as of the Closing Date; and; (v) a cash settlement statement an aged schedule of accounts receivable of Seller as of the Closing Date; and (vi) a cash settlement of Seller, in the form provided by Buyer.
