Final In-Orbit Acceptance Clause Samples
The Final In-Orbit Acceptance clause defines the process and criteria by which a satellite or spacecraft is formally accepted by the customer after it has been launched and is operating in its designated orbit. Typically, this involves a series of technical tests and performance verifications to ensure the satellite meets all contractual specifications and is fully functional. Once these requirements are satisfied, the customer acknowledges acceptance, which often triggers final payment obligations and the transfer of risk or ownership. This clause ensures both parties have a clear, objective standard for confirming successful delivery and performance, thereby reducing disputes and clarifying responsibilities.
Final In-Orbit Acceptance. The Borrower shall:
(a) provide to the COFACE Agent a certificate signed by a Responsible Officer confirming that Final In-Orbit Acceptance has occurred (such certificate to be in form and substance satisfactory to the COFACE Agent) within five (5) Business Days following Final In-Orbit Acceptance; and
(b) promptly on request, supply to the COFACE Agent such further information regarding Final In-Orbit Acceptance as any Finance Party through the COFACE Agent may reasonably request.
Final In-Orbit Acceptance. The Borrower shall:
(a) provide to the BPIFAE Agent a certificate signed by a Responsible Officer confirming that Final In‑Orbit Acceptance has occurred (such certificate to be in form and substance satisfactory to the BPIFAE Agent) within five (5) Business Days following Final In‑Orbit Acceptance; and
(b) promptly on request, supply to the BPIFAE Agent such further information regarding Final In‑Orbit Acceptance as any Finance Party through the BPIFAE Agent may reasonably request.
Final In-Orbit Acceptance. The Borrower shall:

(ii) with respect to twenty-four (24) Satellites by 1 September 2012.”.
