Common use of Final Order Clause in Contracts

Final Order. If the Interim Order is obtained and the Arrangement Resolution is passed at the Meeting as provided for in the Interim Order, the Company will, as soon as reasonably practicable (but in any event within two (2) Business Days) thereafter, take all steps necessary or desirable to submit the Arrangement to the Court and diligently pursue an application for the Final Order pursuant to the BCBCA.

Final Order. If the Interim Order is obtained and the Arrangement Resolution is passed at the Meeting as provided for in the Interim OrderOrder and as required by applicable Law, subject to the terms of this Agreement, the Company will, shall as soon as reasonably practicable (but thereafter, and in any event within two (2) three Business Days) Days thereafter, take all steps necessary or desirable to submit the Arrangement to the Court and diligently pursue an application for the Final Order pursuant to Division 5 of Part 9 of the BCBCA.

Final Order. If the Interim Order is obtained and the Arrangement Resolution is passed at the Company Meeting as provided for in the Interim Order, the Company will, as soon as reasonably practicable (but in any event within two (2) Business Days) thereafter, shall take all steps necessary or desirable to submit the Arrangement to the Court and diligently pursue an application for the Final Order pursuant to Section 192 of the BCBCACBCA, as soon as reasonably practicable, but in any event not later than three Business Days after the Arrangement Resolution is passed at the Company Meeting.

Final Order. If (a) the Interim Order is obtained obtained, and (b) the Arrangement Resolution is passed at the Company Meeting by the Company Shareholders as provided for in the Interim OrderOrder and as required by applicable Law, the Company will, as soon as reasonably practicable (but in any event within two (2) Business Days) thereafter, shall take all steps necessary or desirable to submit the Arrangement to the Court and diligently pursue an application for the Final Order pursuant to Section 291 of the BCBCA, as soon as reasonably practicable, but in any event not later than five Business Days after the Arrangement Resolution is passed at the Company Meeting as provided for in the Interim Order, or such other date as may be agreed to by the Parties in writing, acting reasonably.

Final Order. If the Interim Order is obtained and obtained, the Arrangement Resolution is passed at the Xxxxxxxxx Meeting by Xxxxxxxxx Shareholders as provided for in the Interim OrderOrder and as required by applicable Law, and subject to the Company willterms of this Agreement, Xxxxxxxxx shall, as soon as reasonably practicable (but thereafter and, in any event event, within two (2) Business Days) three business days thereafter, take all steps necessary or desirable to submit the Arrangement to the Court, appear through counsel at Court and diligently pursue an application for and seek the Final Order pursuant to section 291 of the BCBCA.

Final Order. If the Interim Order is obtained and the Arrangement Resolution is passed at the Meeting as provided for in the Interim Order, the Company will, as soon as reasonably practicable (but in any event within two (2) Business Days) thereafter, shall take all steps necessary or desirable to submit the Arrangement to the Court and diligently pursue an application for the Final Order pursuant to Section 192 of the BCBCACBCA in a manner and form acceptable to both the Company and the Purchaser, acting reasonably, as soon as reasonably practicable, but in any event not later than three (3) Business Days after the Arrangement Resolution is passed at the Meeting as provided for in the Interim Order.

Final Order. If the Interim Order is obtained and the Arrangement Resolution is passed at the Company Meeting as provided for in the Interim Order, subject to the terms and conditions of this Agreement, the Company will, as soon as reasonably practicable (but in any event within two (2) Business Days) thereafter, shall take all steps necessary or desirable to submit the Arrangement to the Court and diligently pursue an application for the Final Order pursuant to Section 192 of the BCBCACBCA, as soon as reasonably practicable, but in any event not later than five (5) Business Days after the Arrangement Resolution is passed at the Company Meeting or such other date as may be agreed to in writing between the Parties, each acting reasonably.

Final Order. If the Interim Order is obtained and the Arrangement Resolution is passed at the Company Meeting as provided for in the Interim Orderrequired by applicable Law, the Company willshall, as soon as reasonably practicable (but in any event within two (2) three Business Days) thereafter, take all steps necessary or desirable to submit the Arrangement to the Court and diligently pursue an application for the Final Order pursuant to Section 192 of the BCBCACBCA.

If the Interim Order is obtained and the Arrangement Resolution is passed at the Company Meeting as provided for in the Interim Order, the Company willshall, as soon as reasonably practicable (but in any event within two (2) Business Days) thereafterconsultation with the Purchaser and its legal counsel, take all steps necessary or desirable to submit the Arrangement to the Court and diligently pursue an application for the Final Order pursuant to section 192 of the BCBCACBCA, as soon as reasonably practicable, but in any event not later than three Business Days after the Arrangement Resolution is passed at the Company Meeting, or such other date as may be agreed to by the Parties in writing.

Final Order. If the Interim Order is obtained and the Arrangement Resolution is passed at the Company Meeting as provided for in the Interim Order, the Company will, as soon as reasonably practicable (but in any event within two (2) five Business Days) thereafter, take all steps necessary or desirable to submit the Arrangement to the Court and diligently pursue an application for the Final Order pursuant to Section 192 of the BCBCACBCA.

Final Order. Final Order. If If: (i) the Interim Order is obtained obtained; and (ii) the Arrangement Resolution is passed at the Company Meeting by the Company Shareholders as provided for in the Interim OrderOrder and as required by applicable Law, the Company will, shall as soon as reasonably practicable (but thereafter and in any event within two (2) Business Days) three business days thereafter, take all steps necessary or desirable to submit the Arrangement to the Court and diligently pursue an application for the Final Order pursuant to section 291 of the BCBCA.

If the Interim Order is obtained and the Arrangement Resolution is passed approved at the Company Meeting as provided for in accordance with the terms of the Interim Order, the Company will, as soon as reasonably practicable (but in any event within two (2) Business Days) thereafter, shall take all steps necessary or desirable to submit the Arrangement to the Court and diligently pursue an application for the Final Order pursuant to Section 291(4) of the BCBCA, as soon as reasonably practicable, but in any event not later than three Business Days after the Arrangement Resolution is passed at the Company Meeting as provided for in the Interim Order.

Final Order. If the Interim Order is obtained and the Arrangement Resolution is passed approved at the Meeting as provided for in the Interim Order, the Company willMeeting, as soon as reasonably practicable (after the Company Meeting, but in any event within two (2) no later than five Business Days) Days thereafter, take all steps necessary or desirable to the Company shall submit the Arrangement to the Court and diligently pursue an application for the Final Order pursuant to Section 192 of the BCBCACBCA, in a form and manner reasonably acceptable to the Purchaser and the Company, each acting reasonably.

If the Interim Order is obtained and the Arrangement Resolution is passed at the Company Meeting as provided for in the Interim Order, the Company will, as soon as reasonably practicable (but in any event within two (2) Business Days) thereafter, shall take all steps necessary or desirable to submit the Arrangement to the Court and diligently pursue an application for the Final Order pursuant to Section 192 of the BCBCACBCA, as soon as reasonably practicable, but in any event not later than five (5) Business Days after the Arrangement Resolution is passed at the Company Meeting or such other date as may be agreed to in writing between the Parties, each acting reasonably.

If the Interim Order is obtained and the Arrangement Resolution is passed at the Meeting as provided for in the Interim Order, the Company will, as soon as reasonably practicable (but in any event within two (2) Business Days) thereafter, Corporation shall take all steps necessary or desirable advisable to submit the Arrangement to the Court and diligently pursue an application for the Final Order pursuant to Section 192 of the BCBCA.CBCA, as soon as reasonably practicable and in any event no later than five Business Days after the Arrangement Resolution is passed at the Meeting. Section 2.6

Final Order. If the Interim Order is obtained obtained, and if the Arrangement Resolution is passed at the Company Meeting by the Company Shareholders, as provided for in the Interim OrderOrder and as required by applicable Laws and Regulations and subject to the terms of this Agreement, the Company will, shall as soon as reasonably practicable (but thereafter and in any event within two (2) Business Days) thereafter, one business day thereafter take all steps necessary or desirable to submit the Arrangement to the Court and diligently pursue an application for the Final Order pursuant to section 192 of the BCBCACBCA.

Final Order. If the Interim Order is obtained and the Arrangement Resolution is passed approved at the Meeting as provided for in the Interim OrderCompany Special Meeting, the then Company willshall, as soon promptly as reasonably practicable (but in any event within two (2) Business Days) thereafter, take and no later than five Business Days thereafter, complete all steps actions necessary or desirable to submit the Arrangement to the Court and diligently pursue an application for the Final Order pursuant to Section 192 of the BCBCACBCA.

Final Order. If the Interim Order is obtained and the Arrangement Resolution is passed at the Meeting as provided for in the Interim OrderOrder and as required by applicable Law, the Company willCorporation shall, subject to the terms of this Agreement, take all steps necessary to apply to the Court for approval of the Plan of Arrangement and the granting of the Final Order pursuant to Section 291 of the BCBCA, as soon as reasonably practicable (but and in any event within two no later than five (25) Business Days) thereafter, take all steps necessary or desirable to submit Days after the Arrangement to Resolution is passed at the Court and diligently pursue an application for the Final Order pursuant to the BCBCAMeeting.

Final Order. If the Interim Order is obtained and the Arrangement Resolution is passed at the Meeting as provided for in the Interim Order, the Company will, as soon as reasonably practicable (but in any event within two (2) Business Days) thereafter, shall take all steps necessary or desirable to submit the Arrangement to the Court and diligently pursue an application for the Final Order pursuant to Section 291 of the BCBCA.

Final Order. If the Interim Order is obtained and obtained, the Arrangement Resolution is passed at the Company Meeting as provided for in the Interim OrderOrder and as required by applicable Law, and subject to the terms of this Agreement, the Company will, shall as soon as reasonably practicable (but in any event within two (2) Business Days) thereafter, thereafter take all steps necessary or desirable to submit the Arrangement to the Court and diligently pursue an application for the Final Order pursuant to Section 291 of the BCBCABCBCA such that the Final Order is obtained on the day following the Company Meeting.

Final Order. If the Interim Order is obtained and the Arrangement Resolution is passed at the Corporation Meeting as provided for in the Interim Order, the Company will, as soon as reasonably practicable (but in any event within two (2) Business Days) thereafter, Corporation shall take all steps necessary or desirable to submit the Arrangement to the Court and diligently pursue an application for the Final Order pursuant to Section 192 of the BCBCACBCA, as soon as reasonably practicable, but in any event not later than five (5) Business Days after the Arrangement Resolution is passed at the Corporation Meeting.

Final Order. If the Interim Order is obtained and the Arrangement Resolution is passed at the Meeting as provided for in the Interim Orderobtained, the Company will, as soon as reasonably practicable (but in any event within two (2) Business Days) thereafter, shall take all steps necessary or desirable to submit the Arrangement to the Court and diligently pursue an application for the Final Order pursuant to Section 192(4)(e) of the BCBCACBCA as soon as reasonably practicable, but in any event not later than three (3) Business Days after the Arrangement Resolution is passed at the Company Meeting as provided for in the Interim Order.

Final Order. If the Interim Order is obtained and the Arrangement Resolution is passed approved at the Meeting as provided for in accordance with the terms of the Interim Order, the Company will, as soon as reasonably practicable (but in any event within two (2) Business Days) thereafter, shall take all steps necessary or desirable to submit the Arrangement to the Court and diligently pursue an application for the Final Order pursuant to Section 192 of the BCBCACBCA as soon as reasonably practicable and in any event no later than five (5) Business Days after the Required Shareholder Approval is obtained at the Meeting, or within such other period as the Parties may agree, acting reasonably.

Final Order. If the Interim Order is obtained and the Arrangement Resolution is passed at the Meeting as provided for in the Interim Orderobtained, the Company will, as soon as reasonably practicable (but in any event within two (2) Business Days) thereafter, shall take all steps necessary or desirable to submit the Arrangement to the Court and diligently pursue an application for the Final Order pursuant to Part 9, Division 5 of the BCBCA, as soon as reasonably practicable, but in any event not later than three (3) Business Days after the Arrangement Resolution is passed at the Company Meeting as provided for in the Interim Order.

Final Order. If (i) the Interim Order is obtained obtained, and (ii) the Arrangement Resolution is passed at the Special Meeting by Shareholders as provided for in the Interim OrderOrder and as required by applicable Law, subject to the terms of this Agreement, the Company will, shall as soon as reasonably practicable (but thereafter and in any event within two three (23) Business Days) thereafter, Days thereafter take all steps necessary or desirable to submit the Arrangement to the Court and diligently pursue an application for the Final Order pursuant to section 291 of the BCBCABCA.
