Common use of Final Order Clause in Contracts

Final Order. If (i) the Interim Order is obtained and, subject to the approvals contemplated by the Interim Order, and (ii) the Arrangement Resolution is passed at the Company Meeting as provided for in the Interim Order, the Company shall take all steps necessary or desirable to submit the Arrangement to the Court and diligently pursue an application for the Final Order pursuant to section 192 of the CBCA, as soon as practicable, but in any event not later than five (5) Business Days after the Arrangement Resolution is passed at the Company Meeting.

Final Order. If (i) the Interim Order is obtained and, subject to the approvals contemplated by the Interim Order, and (ii) the Arrangement Resolution is passed approved at the Company Meeting as provided for in accordance with the terms of the Interim Order, the Company shall take all steps necessary or desirable to submit the Arrangement to the Court and diligently pursue an application for the Final Order pursuant to section Section 192 of the CBCA, CBCA as soon as practicable, but reasonably practicable and in any event not no later than five (5) Business Days after the Arrangement Resolution Required Shareholder Approval is passed obtained at the Company Meeting, or within such other period as the Parties may agree, acting reasonably.

Final Order. If (i) the Interim Order is obtained and, subject to the approvals contemplated by the Interim Order, and (ii) the Arrangement Resolution is passed at the Company Meeting as provided for in the Interim Order, the Company Corporation shall take all steps necessary or desirable advisable to submit the Arrangement to the Court and diligently pursue an application for the Final Order pursuant to section Section 192 of the CBCA, as soon as practicable, but reasonably practicable and in any event not no later than five (5) Business Days after the Arrangement Resolution is passed at the Company Meeting.. Section 2.6

Final Order. If (i) the Interim Order is obtained and, subject to the approvals contemplated by the Interim Order, and (ii) the Arrangement Resolution is passed at the Company Meeting as provided for in the Interim Order, the Company shall take all steps necessary or desirable to submit the Arrangement to the Court and diligently pursue an application for the Final Order pursuant to section Section 192 of the CBCA, CBCA as soon as practicable, but in any event not later than five (5) Business Days after the Arrangement Resolution is passed at the Company Meetingreasonably practicable thereafter.

If (i) the Interim Order is obtained and, subject to the approvals contemplated by the Interim Order, and (ii) the Arrangement Resolution is passed at the Company Meeting as provided for in the Interim Order, the Company shall take all steps necessary or desirable to submit the Arrangement to the Court and diligently pursue an application for the Final Order pursuant to section Section 192 of the CBCA, as soon as reasonably practicable, but in any event not later than five (5) Business Days after the Arrangement Resolution is passed at the Company MeetingMeeting or such other date as may be agreed to in writing between the Parties, each acting reasonably.

If (i) the Interim Order is obtained and, subject to the approvals contemplated by the Interim Order, and (ii) the Arrangement Resolution is passed at approved in accordance with the Company Meeting as provided for in terms of the Interim Order, the Company shall take all steps necessary or desirable to submit the Arrangement to the Court and diligently pursue an application for the Final Order pursuant to section 192 of the CBCA, as soon as reasonably practicable, but in any event not later than five (5) Business Days after the Arrangement Resolution is passed at as provided for in the Company MeetingInterim Order.

Final Order. If (i) the Interim Order is obtained and, subject to the approvals contemplated by the Interim Order, and (ii) the Arrangement Resolution is passed approved at the Company Meeting Meeting, as provided for soon as reasonably practicable after the Company Meeting, but in the Interim Orderany event no later than five Business Days thereafter, the Company shall take all steps necessary or desirable to submit the Arrangement to the Court and diligently pursue an application for the Final Order pursuant to section Section 192 of the CBCA, as soon as practicablein a form and manner reasonably acceptable to the Purchaser and the Company, but in any event not later than five (5) Business Days after the Arrangement Resolution is passed at the Company Meetingeach acting reasonably.

Final Order. If (i) the Interim Order is obtained and, subject to the approvals contemplated by the Interim Order, and (ii) the Arrangement Resolution is passed at the Company Meeting as provided for in the Interim Orderobtained, the Company shall take all steps necessary or desirable to submit the Arrangement to the Court and diligently pursue an application for the Final Order pursuant to section 192 Section 192(4)(e) of the CBCA, CBCA as soon as reasonably practicable, but in any event not later than five three (53) Business Days after the Arrangement Resolution is passed at the Company MeetingMeeting as provided for in the Interim Order.

Final Order. If (i) the Interim Order is obtained and, subject to the approvals contemplated by the Interim Orderobtained, and (ii) if the Arrangement Resolution is passed at the Company Meeting by the Company Shareholders, as provided for in the Interim OrderOrder and as required by applicable Laws and Regulations and subject to the terms of this Agreement, the Company shall as soon as reasonably practicable thereafter and in any event within one business day thereafter take all steps necessary or desirable to submit the Arrangement to the Court and diligently pursue an application for the Final Order pursuant to section 192 of the CBCA, as soon as practicable, but in any event not later than five (5) Business Days after the Arrangement Resolution is passed at the Company Meeting.

Final Order. If (i) the Interim Order is obtained andobtained, subject to the approvals contemplated by the Interim Order, and (ii) the Arrangement Resolution is passed at the Company Meeting as provided for in the Interim OrderOrder and as required by Applicable Law, and subject to the terms of this Agreement, the Company shall shall, as soon as reasonably practicable thereafter, take all steps necessary or desirable to submit the Arrangement to the Court and diligently pursue an application for the Final Order pursuant to section Section 192 of the CBCA, as soon as practicable, but in any event not later than five (5) Business Days after the Arrangement Resolution is passed at the Company Meeting.

Final Order. If (i) the Interim Order is obtained and, subject to the approvals contemplated by the Interim Order, and (ii) the Arrangement Resolution is passed approved at the Company Meeting Special Meeting, then Company shall, as provided for in the Interim Orderpromptly as reasonably practicable thereafter, the Company shall take and no later than five Business Days thereafter, complete all steps actions necessary or desirable to submit the Arrangement to the Court and diligently pursue an application for the Final Order pursuant to section Section 192 of the CBCA, as soon as practicable, but in any event not later than five (5) Business Days after the Arrangement Resolution is passed at the Company Meeting.

Final Order. If (i) the Interim Order is obtained and, subject to the approvals contemplated by the Interim Order, and (ii) the Arrangement Resolution is passed at the Company Meeting as provided for in the Interim Order, the Company shall take all steps necessary or desirable to submit the Arrangement to the Court and diligently pursue an application for the Final Order pursuant to section 192 of the CBCA, as soon as reasonably practicable, but in any event not later than five three (53) Business Days after the Arrangement Resolution is passed at the Company Meeting.

Final Order. If (i) the Interim Order is obtained andobtained, subject to the approvals contemplated by the Interim Order, and (ii) the Arrangement Resolution is passed at the Company Meeting as provided for in the Interim OrderOrder and as required by Applicable Law and the condition in Section 8.1(d) has been satisfied or waived by each of the Parties, and subject to the terms of this Agreement, the Company shall as soon as reasonably practicable thereafter take all steps necessary or desirable to submit the Arrangement to the Court and diligently pursue an application for the Final Order pursuant to section Section 192 of the CBCA, as soon as practicable, but in any event not later than five (5) Business Days after the Arrangement Resolution is passed at the Company Meeting.

Final Order. If (i) the Interim Order is obtained and, subject to the approvals contemplated by the Interim Order, and (ii) the Arrangement Resolution is passed at the Company Meeting as provided for in the Interim Order, the Company Corporation shall take all steps necessary or desirable to submit the Arrangement to the Court and diligently pursue an application for the Final Order pursuant to section Section 192 of the CBCA, as soon as reasonably practicable, but in any event not later than five three (53) Business Days after the Arrangement Resolution is passed at the Company MeetingMeeting as provided for in the Interim Order.

Final Order. If (i) the Interim Order is obtained andand the Required Shareholder Approval is obtained, then subject to the approvals contemplated by the Interim Order, and (ii) the Arrangement Resolution is passed at the Company Meeting as provided for in the Interim Orderterms of this Agreement, the Company shall shall, as soon as reasonably practicable, and in any event within three (3) Business Days of all such conditions having been satisfied, take all steps necessary or desirable to submit the Arrangement to the Court and diligently pursue an application for the Final Order pursuant to section 192 of the CBCA, as soon as practicable, but in any event not later than five (5) Business Days after the Arrangement Resolution is passed at the Company Meeting.
