Final Term Sheets Sample Clauses

Final Term Sheets. The Issuer will prepare final term sheets containing only a description of the Securities, and will file such term sheets pursuant to Rule 433(d) under the Securities Act within the time required by such rule (such term sheets, the “Final Term Sheets”). Any such Final Term Sheet is an Issuer Free Writing Prospectus for purposes of this Agreement. Forms of the Final Term Sheets for the Debt Securities are attached hereto as Exhibit C-1 and Exhibit C-2.

Final Term Sheets. For each series of Securities, the Company will prepare separate final term sheets, in each case, containing only a description of such series of Securities in forms approved by the Underwriters and attached as Exhibit A-1 and Exhibit A-2 hereto, and will file such term sheets pursuant to Rule 433(d) under the Securities Act within the time required by such rule (such term sheets collectively, the “Final Term Sheets”). Any such Final Term Sheet is an Issuer Free Writing Prospectus for purposes of this Agreement.

Final Term Sheets. The Issuer and the Guarantor will prepare [a] final term sheet[s], in a form approved by the Underwriters and attached as Exhibit C hereto, and will file such term sheet[s] pursuant to Rule 433(d) under the Securities Act within the time required by such rule (such term sheet[s], the “Final Term Sheet[s]”). Any such Final Term Sheet is an Issuer Free Writing Prospectus for purposes of this Agreement.

Final Term Sheets. The Company will prepare final term sheets containing solely the final pricing terms of the Securities in a form approved by the Representatives and contained in Schedule D hereof and file such term sheets pursuant to Rule 433(d) of the 1933 Act within the time required by such rule.
