Final Works. Despite completion of this Agreement, the Purchaser agrees to permit the Vendor or the Vendor’s contractors, employees or agents to enter upon the Property with their equipment for the purpose of carrying out any work required by any relevant authority. The Vendor agrees and warrants that such work will be done in a workmanlike manner and that the Property will be restored to its original condition as far as reasonably possible.

Final Works. Upon completion of the Services each month, and expressly conditioned upon full payment of all fees and costs due therefore, Designer assigns to Client all rights, title and interest, including copyright, in and to the final deliverables comprising the finished works approved for implementation by Client (“Final Works”). Designer warrants and represents that, to the best of its knowledge, the Final Works are original to Designer and/or its Design Agents; and that Designer has procured from its Design Agents appropriate agreements as necessary to grant the ownership rights assigned to Client herein. Designer shall cooperate with Client and shall execute any additional documents reason- ably requested by Client to evidence such assignment. Client hereby grants to Designer the nonexclusive right to reproduce, publish and display the Final Works in its portfolios in all media including print and online, and in galleries, design periodicals and other media or exhibits for the purposes of recognition of creative excellence or professional advancement in the field of design, and Designer retains the right to be credited with authorship therein.
Final Works. Upon completion of the Services, and expressly conditioned upon full payment of all fees and costs due, Designer hereby grants to Client the exclusive, perpetual and worldwide right and license to use, reproduce and display the Final Works solely in connection with the Project as defined in the Proposal/Estimate. Any additional uses will require separate pricing. All other rights, including Copyrights, are reserved by Designer. Modification: The rights granted to Client are for usage of the Final Works in their original form only. Client may not crop, distort, manipulate, reconfigure, mimic, animate, edit, extract portions, intentionally alter the color of the Final Works, or otherwise create derivative works based on the Final Works.
Final Works. All content developed or commissioned by Consultant exclusively for the Project and incorporated into the Final Deliverables, such as any visual elements, graphic design, copy, illustration, photography, animation, motion design, audio-visual works, sounds, typographic treatments and text, modifications to Client Content, and Consultant’s selection, arrangement, and coordination of such elements with Client Content and Third-Party Materials.

  • Original Works All Work Product created by Contractor pursuant to the Services, including derivative works and compilations of Work Product, and whether or not such Work Product is considered a work made for hire or an employment to invent, is the exclusive property of Agency. Agency and Contractor agree that such Work Product is “work made for hire” of which Agency is the author within the meaning of the United States Copyright Act. If for any reason the Work Product is not “work made for hire,” Contractor hereby irrevocably assigns to Agency any and all of its rights, title, and interest in all Work Product, whether arising from copyright, patent, trademark, trade secret, or any other state or federal intellectual property law or doctrine. Upon Agency’s reasonable request, Contractor shall execute such further documents and instruments necessary to fully vest such rights in Agency. Contractor forever waives any and all rights relating to Work Product, including without limitation, any and all rights arising under 17 USC §106A or any other rights of identification of authorship or rights of approval, restriction or limitation on use or subsequent modifications.

  • Additional Works If the Employer requests the Contractor to provide additional works or services which are not either envisaged by, or ancillary to the Works to be provided under, this Contract then the Contractor shall comply with any such request as if such request were a Variation instruction and the provisions of this clause 13 [Variations and Adjustments] shall apply accordingly.

  • THE WORKS 3.1 The Contractor undertakes to execute the Works in a proper and workmanlike manner against payment of the Contract Price referred to in clause 4 of this Agreement.

  • Additional Work If changes in the work seem merited by Consultant or the City, and informal consultations with the other party indicate that a change is warranted, it shall be processed in the following manner: a letter outlining the changes shall be forwarded to the City by Consultant with a statement of estimated changes in fee or time schedule. An amendment to this Agreement shall be prepared by the City and executed by both Parties before performance of such services, or the City will not be required to pay for the changes in the scope of work. Such amendment shall not render ineffective or invalidate unaffected portions of this Agreement.

  • Personnel Equipment and Material Engineer shall furnish and maintain, at its own expense, quarters for the performance of all Engineering Services, and adequate and sufficient personnel and equipment to perform the Engineering Services as required. All employees of Engineer shall have such knowledge and experience as will enable them to perform the duties assigned to them. Any employee of Engineer who, in the reasonable opinion of County, is incompetent or whose conduct becomes detrimental to the Engineering Services shall immediately be removed from association with the Project when so instructed by County. Engineer certifies that it presently has adequate qualified personnel in its employment for performance of the Engineering Services required under this Contract, or will obtain such personnel from sources other than County. Engineer may not change the Project Manager without prior written consent of County.

  • LABOR AND MATERIALS 3.4.1 Unless otherwise provided in the Contract Documents, the Contractor shall provide and pay for labor, materials, equipment, tools, construction equipment and machinery, water, heat, utilities, transportation, and other facilities and services necessary for proper execution and completion of the Work, whether temporary or permanent and whether or not incorporated or to be incorporated in the Work.

  • Removal of Equipment and Materials Within 30 days after completion of the requirements of this contract, PURCHASER shall remove from the areas of operations, and other property owned or controlled by STATE, all equipment, materials, and other property PURCHASER has placed or caused to be placed thereon that is not to become the property of STATE. It is agreed that any such equipment, materials, and other property that are not removed within 30 days, shall become the property of STATE and may be used or otherwise disposed of by STATE without notice or obligation to PURCHASER or to any party to whom PURCHASER may transfer title. Nothing in this section shall be construed as relieving PURCHASER from an obligation to clean up and to burn, remove, or dispose of debris, waste materials, and such, in accordance with the provisions of this contract. PURCHASER shall indemnify STATE for expenses as a result of cleanup, removal or disposal of debris, waste materials, and such.

  • Work The definition of work, for overtime purposes only, includes:
