Common use of Financial Advisor Clause in Contracts

Financial Advisor. Except for Xxxxxx, Xxxxxxxx & Company, Incorporated, no broker, finder or investment banker is entitled to any brokerage, finder’s or other fee or commission in connection with the Merger based upon arrangements made by or on behalf of the Company.

Financial Advisor. Except for XxxxxxXxxxxxx, Xxxxxxxx Xxxxx & CompanyCo., Incorporatedand Leerink Xxxxx LLC (with respect to its opinion), no broker, finder or investment banker is entitled to any brokerage, finder’s or other fee or commission in connection with the Merger or any of the other Contemplated Transactions based upon arrangements made by or on behalf of the Company.

Financial Advisor. Except for Xxxxxx, Xxxxxxxx & Company, IncorporatedXxxxxxx Xxxxx, no broker, finder or investment banker is entitled to any brokerage, finder’s or other fee or commission in connection with the Merger Mergers or any of the other Contemplated Transactions based upon arrangements made by or on behalf of any of the CompanyTriQuint Corporations.

LLC, no broker, finder or investment banker is entitled to any brokerage, finder’s or other fee or commission in connection with the Merger or any of the other Contemplated Transactions based upon arrangements made by or on behalf of the CompanyAinge or any of its Subsidiaries.

(“Mxxxxxxx”), no broker, finder or investment banker is entitled to any brokerage, finder’s or other fee or commission in connection with the Merger or any of the other Contemplated Transactions based upon arrangements made by or on behalf of any of the CompanyCompany Entities. The Company has furnished to Parent accurate and complete copies of all agreements related to the engagement of Mxxxxxxx under which any Company Entity has or may have any right or obligation.

Except for Xxxxxxx Xxxxx Xxxxxx, Xxxxxxxx Xxxxxx & Company, Xxxxx Incorporated, no broker, finder finder, investment banker, financial advisor or investment banker other Person is entitled to any brokerage, finder’s or other similar fee or commission commission, or the reimbursement of expenses in connection therewith, in connection with the Merger transactions contemplated by this Agreement based upon arrangements made by or on behalf of the CompanyCompany or any other Acquired Corporation.

Except for XxxxxxXxxxxxx Xxxxx & Associates, Xxxxxxxx & Company, IncorporatedInc., no broker, finder or investment banker is entitled to any brokerage, brokerage or finder’s or other fee or commission in connection with the Merger or any of the Contemplated Transactions based upon arrangements made by or on behalf of the Company.

LLC, no broker, finder or investment banker is entitled to any brokerage, finder’s ’s, opinion, success, transaction fee or other fee or commission in connection with the Merger or any of the other transactions contemplated by this Agreement based upon arrangements made by or on behalf of any of the CompanyAcquired Corporations.
