Financial Condition of the Operator. The books and records of the Operator are complete and accurate and fairly present the financial condition and the results of operations of the Operator as of the date hereof. There are no material liabilities, either fixed or contingent, not reflected in such books and records other than contracts or obligations in the ordinary and usual course of business; and no such contracts or obligations in the usual course of business constitute liens or other liabilities which, if disclosed, would alter substantially the financial condition of the Operator as reflected in such books and records.
