Common use of Financial Covenant Compliance Certificate Clause in Contracts

Financial Covenant Compliance Certificate. The Administrative Agent shall have received a certificate dated the Closing Date in substantially the form of Schedule 4.1(t) executed by a responsible officer of the Borrower demonstrating compliance with the financial covenants set forth in Section 5.9 for the last twelve consecutive calendar month period ending on June 30, 2003.

Financial Covenant Compliance Certificate. The Administrative Agent shall have received a certificate dated the Closing Date in substantially the form of Schedule 4.1(t4.1(v) executed by a responsible officer of the Borrower demonstrating pro forma compliance with the 63 69 financial covenants set forth in Section 5.9 for the last twelve consecutive calendar month period ending on June 30May 31, 20032000 as if the Acquisition had occurred on the first day of such twelve month period.

Financial Covenant Compliance Certificate. The Administrative Agent shall have received a certificate dated the Closing Date in substantially the form of Schedule 4.1(t4.1(x) executed by a 55 62 responsible officer of the Borrower as of the Closing Date demonstrating compliance with the financial covenants set forth in Section 5.9 for the last twelve consecutive calendar month period ending on June 30, 20035.9.

The Administrative Agent shall have received a certificate dated the Closing Date in substantially the form of Schedule 4.1(t) executed by a responsible officer of the Borrower demonstrating compliance with the financial covenants set forth in Section 5.9 for the last twelve consecutive calendar month period ending on June 30, 20032006.
