Common use of Financial Information, etc Clause in Contracts

Financial Information, etc. The Administrative Agent received: (i) audited consolidated financial statements of the Borrower and its Subsidiaries for the fiscal year ended December 31, 2018; and (ii) unaudited consolidated balance sheets of the Borrower and its Subsidiaries for each fiscal quarter ended after December 31, 2018 and at least ten (10) Business Days prior to the Closing Date, together with the related consolidated statement of operations, shareholder’s equity and cash flows for each such fiscal quarter.

Financial Information, etc. The Administrative Agent received: (i) audited consolidated financial statements of the Borrower Issuer and its Subsidiaries for the fiscal year ended December 31, 20182021; and (ii) unaudited consolidated balance sheets of the Borrower Issuer and its Subsidiaries for each fiscal quarter ended after December 31, 2018 2021 and at least ten thirty (1030) Business Days prior to the Closing Date, together with the related consolidated statement of operations, shareholder’s equity and cash flows for each such fiscal quarter.

Financial Information, etc. The Administrative Agent shall have received: (i) audited consolidated financial statements of the Borrower and its Subsidiaries for the fiscal year ended December 31, 20182017; and (ii) unaudited consolidated balance sheets of the Borrower and its Subsidiaries for each fiscal quarter ended after December 31, 2018 2017 and at least ten (10) Business Days prior to the Closing Date, together with the related consolidated statement of operations, shareholder’s equity and cash flows for each such fiscal quarter.

Financial Information, etc. The Administrative Agent and each Lender shall have received: (i) audited consolidated financial statements of the Borrower and its Subsidiaries for the fiscal year ended December 31, 20182022; and (ii) unaudited consolidated balance sheets of the Borrower and its Subsidiaries for each the fiscal quarter ended after December 31June 30, 2018 and at least ten (10) Business Days prior to the Closing Date2023, in each case, together with the related consolidated statement of operations, shareholder’s equity and cash flows for each such fiscal quarter.

Financial Information, etc. The Administrative Agent shall have received: (i) audited consolidated financial statements of the Borrower and its Subsidiaries for the fiscal year ended December 31, 20182016; and (ii) unaudited consolidated balance sheets of the Borrower and its Subsidiaries for each fiscal quarter ended after December 31, 2018 2017 and at least ten thirty (1030) Business Days days prior to the Closing Date, together with the related consolidated statement statements of operations, shareholder’s equity and cash flows operations (income) for each such fiscal quarter.

Financial Information, etc. The Administrative Agent shall have received: (i) audited consolidated financial statements of the Borrower and its Subsidiaries for each of the fiscal year ended December 31, 20182017; and (ii) unaudited consolidated balance sheets of the Borrower and its Subsidiaries for each fiscal quarter ended after December 31, 2018 2017 and at least ten (10) Business Days prior to the Closing Date, together with the related consolidated statement of operations, shareholder’s equity and cash flows for each such fiscal quarter.

Financial Information, etc. The Administrative Agent shall have received: (i) audited consolidated financial statements of the Borrower Parent Guarantor and its Subsidiaries for the fiscal year ended December 31, 2018; and (ii) unaudited consolidated balance sheets of the Borrower Parent Guarantor and its Subsidiaries for each fiscal quarter ended after December 31, 2018 and at least ten (10) Business Days prior to the Closing Date, together with the related consolidated statement of operations, shareholder’s equity and cash flows for each such fiscal quarter.

Financial Information, etc. The Administrative Agent and each Lender shall have received: (ia) audited consolidated financial statements of Holdings, the Borrower and its the Subsidiaries for each of the fiscal year years ended December 31, 2017, and December 31, 2018; and (iib) unaudited consolidated balance sheets of Holdings, the Borrower and its the Subsidiaries for each fiscal quarter ended after December 31, 2018 and at least ten (10) Business Days prior to the Closing Date2018, together with the related consolidated statement of operations, shareholder’s equity and cash flows for each such fiscal quarterthe twelve months then ended.

Financial Information, etc. The Administrative Agent shall have received: (i) audited consolidated financial statements of the Borrower and its Subsidiaries for the fiscal year ended December 31, 20182023; and (ii) unaudited consolidated balance sheets of the Borrower and its Subsidiaries for each fiscal the quarter ended after December March 31, 2018 and at least ten (10) Business Days prior to the Closing Date2024, together with the related consolidated statement of operations, shareholder’s equity and cash flows for each such fiscal quarter.
