Financial Information, etc. The Administrative Agent shall have received: (i) audited consolidated financial statements of Parent and its Subsidiaries for the fiscal year ended December 31, 2017; provided that Parent’s filing of an Annual Report on Form 10-K with the SEC with respect thereto shall be deemed to satisfy the requirements of this Section; and (ii) unaudited consolidated balance sheets of Parent and its Subsidiaries for each fiscal quarter ended after December 31, 2017, together with the related consolidated statement of operations for such fiscal quarter; provided that Parent’s filing of a Quarterly Report on Form 10-Q with the SEC with respect to each such quarter shall be deemed to satisfy the requirements of this Section.
