A material adverse deterioration in the public or private equity and debt securities markets, or in the debt securities market for the syndication of bank loans to corporate borrowers, as a result of which the sources of Buyer's equity or debt financing have declined to issue or have exercised their rights to withdraw their commitments with respect to the transactions contemplated hereby.
