Financial Statements, Reports and Certificates. Debtor will deliver to Secured Party within 120 days of the close of each fiscal year of Debtor, Debtor’s complete financial statements including a balance sheet, income statement, statement of shareholders’ equity and statement of cash flows, each prepared in accordance with Generally Accepted Accounting Principles consistently applied, certified by a recognized firm of certified public accountants satisfactory to Secured Party. Debtor will deliver to Secured Party copies of Debtor’s quarterly financial statements including a balance sheet, income statement, and statement of cash flows, each of which present fairly in all material respects Debtor’s financial condition as of the date thereof, and which are certified by Debtor’s chief financial officer or president, within forty-five (45) days after the close of each of Debtor’s fiscal quarter. Debtor will deliver to Secured Party copies of all Forms 10-K and 10-Q, if any, within 30 days after the dates on which they are filed with the Securities and Exchange Commission. Debtor will deliver to Secured Party copies of Debtor’s monthly financial statements including a balance sheet and income statement, and statement of cash flows, each of which present fairly in all material respects Debtor’s financial condition as of the date thereof, and which are certified by Debtor’s chief financial officer or president, within thirty (30) days after the close of each month. With quarterly and monthly financial statements, Debtor shall also provide to Secured Party a copy of its bank statement(s) for all accounts reflected in such quarterly and monthly financial statements. Concurrently with delivery of the foregoing information, and from time to time promptly upon request of Secured Party, Debtor will deliver to Secured Party a Compliance Certificate substantially consistent with the form of the document attached hereto as Schedule A. Debtor will deliver to Secured Party promptly upon request of Secured Party, in form satisfactory to Secured Party, such other and additional information as Secured Party may reasonably request from time to time. Debtor will deliver to Secured Party copies of Debtor’s monthly financial statements including a company prepared balance sheet, and income statement covering Borrower’s operations during such period, each prepared by Debtor and certified by Debtor’s chief financial officer, within thirty (30) days after the close of each month. Concurrently with delivery of the foregoing monthly financial information, and from time to time promptly upon request of Secured Party, Debtor will deliver to Secured Party a Compliance Certificate substantially consistent with the form of the document attached hereto as Schedule C. Debtor, upon Secured Party’s request, will deliver to Secured Party copies of all Forms 10-K and 10-Q, if any, within 30 days after the dates on which they are filed with the Securities and Exchange Commission. Debtor will deliver to Secured Party copies of Debtor’s monthly financial statements including a balance sheet and income statement, and statement of cash flows, each of which present fairly in all material respects Debtor’s financial condition as of the date thereof, and which are certified by Debtor’s chief financial officer or president, within thirty (30) days after the close of each month. Debtor will deliver to Secured Party within 120 one hundred eighty (180) days of the close of fiscal year 2006 and 2007 of Debtor and each fiscal year of Debtorthereafter, Debtor’s complete audited financial statements including a balance sheet, income statement, statement of shareholders’ equity and statement of cash flows, each prepared in accordance with Generally Accepted Accounting Principles generally accepted accounting principles consistently applied, certified by a recognized firm of certified public accountants satisfactory to Secured Party. Debtor will deliver to Secured Party copies of Debtor’s quarterly financial statements including a balance sheet, income statement, statement and statement of cash flows, each of which present fairly prepared by Debtor in all material respects Debtor’s accordance with generally accepted accounting principles consistently applied by Debtor (except that such financial condition as of the date thereof, statements need not contain notes thereto or account for normal year-end audit adjustments) and which are certified by Debtor’s chief financial officer or presidentofficer, within forty-five ninety (4590) days after the close of each of Debtor’s fiscal quarterquarters. Debtor will deliver shall also provide to Secured Party copies Party, upon Secured Party’s request, at the end of each fiscal quarter, a report listing all Forms 10-K and 10-Q, if any, within 30 days after new Equipment Collateral purchased by Debtor during the dates on which they are filed with the Securities and Exchange Commissionquarter. Debtor will deliver to Secured Party copies of Debtor’s monthly financial statements including a company prepared balance sheet sheet, income statement and income statement, and cash flow statement of cash flowscovering Borrower’s operations during such period, each of which present fairly in all material respects Debtor’s financial condition as of the date thereof, prepared by Debtor and which are certified by Debtor’s chief financial officer or presidentofficer, within thirty forty five (3045) days after the close of each month. With quarterly and monthly financial statements, Debtor shall also provide to Secured Party a copy of its bank statement(s) for all accounts reflected in such quarterly and monthly financial statements. Concurrently with delivery of the foregoing information, and from time to time promptly upon request of Secured Party, Debtor will deliver to Secured Party a Compliance Certificate substantially consistent with the form of the document attached hereto as Schedule A. Debtor will deliver to Secured Party copies of Debtor’s quarterly financial statements including a balance sheet, income statement, statement and statement of cash flows, each of which present fairly prepared by Debtor in all material respects Debtor’s financial condition as of the date thereof, accordance with generally accepted accounting principles consistently applied by Debtor and which are certified by Debtor’s chief financial officer or presidentofficer, within forty-five (45) days after the close of each of Debtor’s fiscal quarter. Debtor will deliver to Secured Party copies of all Forms 10-K and 10-Q, if any, within 30 days after the dates on which they are filed with the Securities and Exchange Commission.
