Common use of Financials Clause in Contracts

Financials. The Company shall make generally available to its security holders and shall deliver to the Representative, as soon as practicable, but in no event later than the first day of the sixteenth full calendar month following the Effective Date of the Registration Statement, an earnings statement (as to which no opinion need be rendered but which shall satisfy the provisions of Section 11(a) of the Act) covering a period of at least 12 months beginning after the Effective date of the Registration Statement.

Financials.
