Financing Private Placement. Seller shall have purchased or agreed to purchase at and subject to Closing the Financing Private Placement Units issued in the Financing Private Placement. Notwithstanding the foregoing, the number of Financing Private Placement Units actually purchased shall not exceed $50 million, and shall be the actual amount as is necessary to meet any capital threshold requirements of the Financing referred to in (x) immediately above.
