Common use of Finder's Services Clause in Contracts

Finder's Services. Finder introduces individuals or entities employed by or affiliated with prospective entities (including but not limited to said individuals’ or entities’ affiliates, subsidiaries, successors, etc.) to Company that may result in Company entering into the following business transaction with those introduced to it: any and all agreement or contracts for advertising or marketing or sale of goods and/or services. Finder shall not introduce any individual or entity to Company for the purpose of any investment in the securities of the Company or purchase of the Company. Finder must introduce to Company individuals employed by prospective entities (a “Prospect”) who have the ability to bind the Prospect to the business transaction. Prior to the time a Prospect in introduced, Finder and the Company desire to enter into a definitive agreement for the particular Prospect. The definitive agreement is expected to have the material attributes contained in this Memorandum of Understanding, but may have different or additional attributes due to the unique nature of each Prospect. For that reason, among others, this Memorandum of Understanding is nonbinding, and no obligations will arise except under a definitive agreement yet to be negotiated, notwithstanding the conduct of Finder and the Company following the date of this MOU.
