Finished Products. All Finished Products produced by MYT will conform to the Product specifications for the Products ordered, as set forth in Schedule 2.3, Product Description, and the warranties, and quality standards agreed upon by the Parties for the Finished Products ordered, as set forth herein.

Finished Products. 2.2.4.1. QUALITY INSPECTORS must perform daily audits of finished goods in the warehouse. 2.2.2.2. If non-conforming product is found, the QUALITY INSPECTOR must tag the product with "Quality Rejected" tape. 2.2.2.3. If the problem is too great for the QUALITY INSPECTOR, he/she must record the problem on the warehouse inspection report form (FRM/QS/WI/024) and reverse the product from the warehouse. 2.2.2.5. The Quality Inspector or WAREHOUSE PERSONNEL will return the product to the appropriate production line for re-work.

Finished Products. Intel understands and agrees that ----------------- royalties are to be paid hereunder for, and the royalty rates specified herein are based upon, Net Sales of Rambus Memories made by or for Intel in finished product form. If Intel Sells Rambus Memories in unfinished form (e.g., as processed wafers, unpackaged products, or otherwise requiring additional work), then Net Sales for each such Rambus Memory shall be calculated based on the volume of such Rambus Memory multiplied by the average gross selling price earned by Intel during such quarter on Sales of that Rambus Memory, in finished product form, to unaffiliated customers in arm's length Sales. If there are no such Sales, then the Parties shall use the average selling price of finished Rambus Memories with similar functionality.

Finished Products. 2.1 During the Term of this Agreement, Sourcefire may request, and ID hereby agrees to (i) perform certain Configuration Services, (ii) produce certain Finished Products (iii) and deliver such Finished Products to the Customers, in accordance with the terms and specifications set forth in an applicable Product Addendum. Each Product Addendum shall also include: (a) a B▇▇▇ of Materials; (b) a mutually agreed upon description of the applicable. Technology that is required; (c) Specifications; (d) prices and pricing terms for the Configuration Services and/or the Finished Product; (e) any other terms and conditions related to the Finished Products that the parties may deem appropriate.

Finished Products. Finished Products" are described below:

Finished Products. Goldstar understands and agrees that royalties ----------------- are intended to be paid hereunder for, and the royalty rates specified herein are based upon, Net Sales of Licensed Rambus ICs in finished product form. If Goldstar Sells Licensed Rambus ICs in unfinished form (e.g., as processed wafers, unpackaged products, or otherwise requiring additional work), then "Net Sales" for each such Licensed Rambus IC shall be calculated based on the actual Sales price only if (a) Rambus has in effect a royalty-bearing license with the customer of Goldstar for such unfinished products, or (b) Rambus agrees specifically in writing to Goldstar to such calculation for each customer of such unfinished products. In all other cases of Sales of unfinished products, Net Sales shall be calculated based on the volume of each Licensed Rambus IC multiplied by the average gross selling price earned by Goldstar during such quarter on Sales of that Licensed Rambus IC, in finished product form, to unaffiliated customers in arms length Sales. If there are no such Sales, then the parties shall use the average selling price of finished Licensed Rambus ICs with similar functionality. Nothing in this Section 4.3(d) shall require Goldstar to obtain prior approval from Rambus for any Sale of unfinished products.

Finished Products. (a) At the latest three (3) Business Days prior to the Closing Date, Seller shall specify the total quantities of Finished Products pursuant to Section 3.2(j) to be transferred from Seller and the Local Sellers to Purchaser and Local Purchasers at Closing (the Closing Finished Products) and the total value of the Closing Finished Products (Closing Finished Products Value) and notify both to Purchaser by way of a Notice. For the avoidance of doubt, the Closing Finished Products shall not include any Finished Products retained by Seller or the Local Sellers pursuant to Section 3.3(j). (b) The Closing Finished Products Value shall be the costs of goods sold (COGS) per Finished Product as set forth in Exhibit 15.5(b) multiplied with the quantities of relevant Closing Finished Products. (c) If the Closing Finished Products Value (i) exceeds EUR 6,500,000 (in words: Euro six million five hundred thousand) (the Target Value), the relevant Euro-for-Euro surplus amount (the Surplus Amount) shall be added to the Preliminary Purchase Price to calculate the Closing Payment Amount as shown in Section 11.4(a); and

Finished Products. Seller is responsible for ensuring and certifying that the Products has been made in accordance with the applicable NDA by reviewing all manufacturing and control information.
