FINRA Member Affiliations Sample Clauses
FINRA Member Affiliations. To the knowledge of the Company, there are no affiliations or associations between any member of Financial Industry Regulatory Authority, Inc. (“FINRA”) and any of the Company Parties’ officers, directors or 5% or greater stockholders, except as described in the Disclosure Package, Prospectus and Registration Statement.
FINRA Member Affiliations. There are no affiliations with any FINRA member firm among the Company’s officers, directors or, to the Knowledge of the Company, any five percent (5%) or greater stockholder of the Company, except as set forth in the Registration Statement, the base prospectus, any Prospectus Supplement or the Prospectus. Any certificate signed by an officer of the Company and delivered to AGP or to counsel for AGP pursuant to or in connection with this Agreement shall be deemed to be a representation and warranty by the Company to AGP as to the matters set forth therein.
