Common use of First Lien Credit Agreement Amendment Clause in Contracts

First Lien Credit Agreement Amendment. The Administrative Agent shall have received a true, correct and complete copy, certified as to such by a Responsible Officer of the Borrower of (i) an amendment to the First Lien Credit Agreement and (ii) the Intercreditor Agreement, each of which shall have been duly executed and delivered by each of the parties thereto and shall be in form and substance acceptable to the Administrative Agent;

First Lien Credit Agreement Amendment. The Administrative Agent shall have received a true, correct copy of a fully executed amendment and complete copy, certified as consent substantially similar in scope and substance to such by a Responsible Officer of the Borrower of (i) an amendment this Amendment with respect to the First Lien Amended and Restated Credit Agreement dated as of April 9, 2007, among Borrower, Xxxxxx Xxxxxxx Senior Funding, Inc., as Administrative Agent and (ii) Collateral Agent and the Intercreditor Agreement, each of which shall have been duly executed and delivered by each of the parties thereto and shall be in form and substance acceptable to the Administrative Agent;other “Lenders” a party thereto; and

The Administrative Agent shall have received a true, correct copy of a fully executed amendment and complete copy, certified as consent substantially similar in scope and substance to such by a Responsible Officer Section 1(b) of the Borrower of (i) an amendment this Amendment with respect to the First Lien Amended and Restated Credit Agreement dated as of April 9, 2007, among Borrower, Xxxxxx Xxxxxxx Senior Funding, Inc., as administrative agent and (ii) collateral agent and the Intercreditor Agreement, each of which shall have been duly executed and delivered by each of the parties thereto and shall be in form and substance acceptable to the Administrative Agent;other “Lenders” a party thereto; and
