Common use of Fiscal Agent and Registrar Clause in Contracts

Fiscal Agent and Registrar. Each of the Issuers and the Guarantor appoint Citibank, N.A., London Branch at its Specified Office in London as Fiscal Agent and Paying Agent in respect of each Series of Notes and as Transfer Agent in respect of each Series of Registered Notes and Citibank Europe plc at its specified office in Ireland as Registrar in respect of each Series of Registered Notes.
