FIXED ARRANGEMENT FEE. Borrower agrees to pay a fixed arrangement fee equal to $750,000 payable on the later to occur of (a) the Facility B Termination Date and (b) the Termination Date. Borrower and each Guarantor hereby acknowledges and agrees that such fee has been fully earned by Lender, is non-refundable, and is irrevocably payable on the due date thereof without offset, deduction or counterclaim.
