Fleet National Bank. The Schedule to the ISDA Master Agreement entered into by Fleet National Bank and eircom Funding dated as of 1 August 2003 shall be amended as follows: (a) the words “an intercreditor agreement dated 6 August 2003” in the introductory paragraph to the Schedule on page 19 of the ISDA Master Agreement shall be replaced with the words “an intercreditor agreement dated 18th March 2004”; and (b) the following new paragraph (1) shall be inserted at the end of Part 5 of the Schedule: “Transfer by way of security. Notwithstanding Section 7, Party A hereby agrees and consents to the transfer by Party B by way of security of all or any of its rights (including any amount due to Party B from Party A) under or pursuant to this Agreement in accordance with the security assignment entered into or to be entered into by Party B in favour of the Security Agent on or about the date of the Intercreditor Agreement.”.
Fleet National Bank. The Chase Manhattan Bank, The CIT Group/Commercial Services, Inc., Israel Discount Bank of New York (each, a "Transferor" and together the "Transferors") wish to assign to HSBC Bank USA and Bank Leumi USA (each, a "Transferee" and together the "Transferees") that interest in and to all the relevant Transferor's rights and obligations under the Loan Agreement as of the date hereof (the "Assigned Portion") and each Transferee hereby accepts said assignment and obligations established under the Loan Agreement with respect to the Assigned Portion, the resulting Revolving Commitments from said assignments are set forth in Schedule A.

Bankruptcy Code - title 11 of the United States Code. Base Rate - the rate of interest announced or quoted by Bank from time to time as its prime rate. The prime rate announced by Bank is a reference rate and does not necessarily represent the lowest or best rate charged by Bank. Bank may make loans or other extensions of credit at, above or below its announced prime rate. If the prime rate is discontinued by Bank as a standard, a comparable reference rate designated by Bank as a substitute therefor shall be the Base Rate. Base Rate Loan - a Loan, or portion thereof, during any period in which it bears interest at a rate based upon the Base Rate.
