Common use of For Material Breach Clause in Contracts

For Material Breach. Licensor may terminate this Agreement in the event Licensee or its Affiliate materially breaches this Agreement and fails to reasonably cure said material breach within sixty (60) days of receiving written notice from Licensor under Section 12(k), setting forth a reasonable description of the asserted material breach. Only the following acts shall constitute a material breach (“Material Breach”) of the Agreement: i. Any use by Licensee or its Affiliates of the Licensed Marks in any Field of Use other than the Licensed Field of Use. ii. Any failure to materially comply with the obligations under Section 8 (Quality Control). iii. Any material failure to comply with Section 7(a). iv. Any assignment in violation of Section 6(a).
