For Residents of Canada. (i) Notwithstanding Section 12, the Grantee may elect (in accordance with the procedures established by the Company) to pay any withholding Tax in cash. If the Grantee does not make a timely election, then unless the Administrator determines otherwise, the Grantee will be deemed to have elected to pay the withholding Tax by having the Company withhold Shares as provided in Section 12.
