Common use of Force Majeure Duration Clause in Contracts

Force Majeure Duration. Notwithstanding the foregoing, if a Party is prevented from substantially performing its obligations under this Agreement for a period of two(2) years due to the occurrence of a Force Majeure event, the other Party may elect to terminate the Agreement by ninety(90) days written notice given anytime thereafter to the non-performing Party, unless substantial performance is resumed prior to the expiration of such ninety(90)days period; provided that the Buyer shall not elect to terminate the Agreement under this part due to a Force Majeure event described under this Clause 10.
