Foreign Obligors and Pledged Collateral Sample Clauses

Foreign Obligors and Pledged Collateral. Within the applicable time periods set forth in Schedule 8.20 or such later date as the Administrative Agent agrees to in writing, (i) the Borrower shall, or shall cause each Foreign Subsidiary (other than an Excluded Subsidiary) that is in existence as of the Closing Date to, deliver the documents or take the actions specified on Schedule 8.20 that are necessary for each such Foreign Subsidiary to comply with the Foreign Collateral and Guarantee Requirement (in each case except to the extent otherwise agreed by the Administrative Agent pursuant to its authority as set forth in the definition of “Foreign Collateral and Guarantee Requirement”) and (ii) the Borrower shall, or shall cause each Obligor to, deliver to the Administrative Agent certificates or other instruments representing or evidencing any Pledged Collateral (as defined in the applicable Security Agreement) relating to Obligors organized outside the United States that is in existence on the Closing Date, accompanied by appropriate duly executed instruments of transfer or assignment, all in form reasonably satisfactory to the Administrative Agent.
