Common use of Foreign Subsidiary Opinion Clause in Contracts

Foreign Subsidiary Opinion. If such requested Extension of Credit is the initial Multicurrency Loan or Swing Line Multicurrency Loan to be made to any Foreign Subsidiary Borrower that is not a party to this Agreement on the Restatement Date, the General Administrative Agent shall have received (with a copy for each Lender) a Foreign Subsidiary Opinion in respect of such Foreign Subsidiary Borrower. Each Extension of Credit made to a Borrower hereunder shall constitute a representation and warranty by such Borrower as of the date of such Extension of Credit that the conditions contained in this subsection 11.2 have been satisfied.
