Forfeiture Notice. In the event that Company shall have actually become entitled to have any of the Unvested Shares Transferred to it under the forfeiture provisions of Article 3, the Company shall so notify TW in a writing stating the reasons therefor and the number of Shares that the Company believes to be subject to forfeiture (the "Forfeiture Notice").
Forfeiture Notice. No later than five (5) Business Days following the final determination of a claim for indemnification resulting in a forfeiture of Securities pursuant to this Section 10.7, the Acquiror shall provide written notice to each holder of Securities to be so forfeited (a “Forfeiture Notice”), setting forth (i) the amount payable in respect of the applicable claim pursuant to this Article X or Section 7.14, as applicable, (ii) the calculation of such holder’s portion of such payment and (iii) the number and calculation of the Securities (including any Exchange Restricted Units and Individual Exchange Restricted Units) being so forfeited pursuant to this Section 10.7.
Forfeiture Notice. At any time until a Called Amount is paid, the Board may give the relevant member a notice which:
(a) requires the member to pay the Called Amount;
(b) specifies a date at least 14 days after the date of the notice by which and a place at which payment must be made; and
(c) states that if payment is not made at that place on or before that date, the share to which the call relates is liable to be forfeited.
