Forfeiture of Unvested RSUs. If your employment terminates prior to the expiration of the Vesting Period for any reason other than the reasons specified in Section 2(b), any unvested RSUs will be forfeited and canceled as of the date of such employment termination, unless (i) the Committee determines otherwise, or (ii) you are an “executive officer” of the Company within the meaning of Rule 3b-7 under the Securities Exchange Act of 1934, as amended, in which case a different treatment may be provided in the Company’s Executive Officer Severance Plan, as such plan is then in effect. Notwithstanding anything to the contrary in this Section 2, your rights with respect to the RSUs, whether vested or unvested, shall in all events be immediately forfeited and canceled as of the date of your termination of employment for Cause.
