Common use of Form 8-K Filings Clause in Contracts

Form 8-K Filings. So long as the Seller is filing Exchange Act Reports with respect to the Issuer, the Owner Trustee shall promptly notify the Seller, but in no event later than four (4) Business Days after its occurrence, of any Reportable Event described in clause (e) of the definition thereof with respect to the Owner Trustee of which a Responsible Officer of the Owner Trustee has actual knowledge (other than a Reportable Event described in clause (e) of the definition thereof as to which the Seller or the Servicer has actual knowledge). The Owner Trustee shall be deemed to have actual knowledge of any such event solely to the extent that it relates to the Owner Trustee in its individual capacity or any action taken by the Owner Trustee (and not by someone else on its behalf) under this Agreement.

So long as the Seller Depositor is filing Exchange Act Reports with respect to the Issuer, the Owner Trustee shall promptly notify the SellerDepositor, but in no event later than four (4) Business Days after its occurrence, of any Reportable Event described in clause (e) of the definition thereof with respect to the Owner Trustee of which a Responsible Officer of the Owner Trustee has actual knowledge (other than a Reportable Event described in clause (e) of the definition thereof as to which the Seller Depositor or the Servicer has actual knowledge). The Owner Trustee shall be deemed to have actual knowledge of any such event solely to the extent that it relates to the Owner Trustee in its individual capacity or any action taken by the Owner Trustee (and not by someone else on its behalf) under this Agreement.

So long as the Seller is filing Exchange Act Reports with respect to the Issuer, the Owner Indenture Trustee shall promptly notify the Seller, but in no event later than four one (41) Business Days Day after its occurrence, of any Reportable Event described in clause (e) of the definition thereof with respect to the Owner Trustee of which a Responsible Officer of the Owner Indenture Trustee has actual knowledge (other than a Reportable Event described in clause (ea) or (b) of the definition thereof as to which the Seller or the Servicer Sale & Servicing Agreement (VALET 2007-1) 34 has actual knowledge). The Owner Indenture Trustee shall be deemed to have actual knowledge of any such event solely to the extent that it relates to the Owner Indenture Trustee in its individual capacity or any action taken or failure to act by the Owner Trustee (and not by someone else on its behalf) under this AgreementIndenture Trustee.
