Form Agreement. The contract to be awarded shall be in the form of the Public Project Agreement attached on the following pages. The provisions of this document will be incorporated in the awarded contract. By submitting a bid, the bidder agrees that upon award it will execute the Public Project Agreement when provided by the District and to be bound by its provisions. A bidder who takes exception to any provision of the attached form Public Project Agreement must indicate in the bid the provisions to which they object and reasons for the objection. No alterations to the form Public Project Agreement shall be made prior to execution of the Agreement by the successful bidder, unless it is in response to an objection raised in the bid. Form Agreement. Agreement Between Owner and Environmental Consultant This agreement is made as of [date], between Environmental Consultant, a corporation with offices at [address], and Owner, a corporation with offices of [address]. Owner employs Environmental Consultant to perform professional environmental engineering services, to serve as Owner’s professional environmental engineering representative, and to provide professional environmental engineering representative, and to provide professional environmental engineering consultation as provided herein in connection with [brief description of project] ("Project"). Owner, by separate agreement, has employed or will employ a Contractor to carry out certain work as the Owner shall therein provide. As hereinafter referred to, "Work" refers to the scope of the Owner’s separate agreement with the Contractor. The obligations, rights, and responsibilities of the Contractor and Owner under that agreement are separate and distinct from those created under this Agreement. The Environmental Consultant makes no representations or warranties as to the qualifications, experience, or any other respect as to the Contractor, and no third party rights on the part of the Contractor are created by this Agreement.
Form Agreement. Attached is a standard form of a Community Benefits Agreement (the “CB Agreement”). It requires the CCRC Borrower to provide Community Benefits in a specified amount pursuant to an approved CBP. It sets forth the procedures that will be followed if, in any year, the CCRC Borrower fails to provide the required level of Community Benefits. In particular, it contemplates a procedure in which the Commission and the CCRC Borrower will work together to develop a practical and realistic alternative CBP if the CCRC Borrower is unable to meet the original targets. The Commission is sensitive to the operating and financial restrictions that affect CCRC Borrowers and is committed to a program that does not threaten the financial stability of CCRC Borrowers, weaken their position in the credit markets or undermine their ability to obtain bond financing on attractive terms. The Commission is committed to finding the best methods by which CCRC Borrowers can commit to meaningful CBPs reflecting both economic reality and the fact that financial circumstances can change. Thus, the program contemplates amendments to a CBP at any time circumstances warrant such change. The CB Agreement does provide, however, that if after these procedures are exhausted and the CCRC Borrower has not produced an alternative CBP acceptable to the Commission, the Commission can require the CCRC Borrower to make payments for Community Benefits consistent with the CB Agreement.
Form Agreement. Host and Licensor will consider development of licensed sites for the Concept in Host's Locations, including but not limited to domestic and international airport concessions ("Airport Locations"), tollroad concessions ("Tollroad Locations"), malls ("Mall Locations"). Within the next sixty (60) days the parties will agree upon a form of license or franchise agreement for each Location (the "Form Agreement") to document the agreement of the parties for each Location developed during the term of this Letter Agreement. Host may, in its sole discretion, designate an affiliate of Host to hold or be transferred the site-specific Form Agreement, so that the entity which operates the Concept at the Location will be the same entity which holds the rights to concession space under the ground lease or master concession agreement for the Location. By way of example, host and Licensor acknowledge that the Form Agreement for mall Locations would ordinarily be entered into in the name of Host Marriott Services USA, Inc., while Host Marriott Tollroads, Inc. may be the entity which holds or is transferred the rights to operate a Paradise Bakery facility at certain Tollroad Locations.
