Any amendment or termination of the Trust shall be evidenced by an instrument in writing signed by an Authorized Officer of the Company, certifying that said amendment or termination has been authorized and directed by the Company or the Board of Directors, as applicable, and, in the case of any amendment, shall be consented to by signature of an authorized officer of the Trustee, if required by Section 8.1.
