Form of Loans to ATXI. (a) Loans made shall be made by Ameren to ATXI as evidenced by a promissory note whose terms will be substantially in the form attached as Exhibit 1 hereto, reflect (i) the principal amount, (ii) the date of the borrowing, (iii) the current interest rate and a reference to the calculation of the future interest rates, (iv) term of the Loan, and (v) be repayable in whole at any time or in part from time to time, without premium or penalty.
