FORM OF OPINION OF COUNSEL FOR THE BORROWERS. To each of the Lenders party to the Credit Agreement referred to below and to JPMorgan Chase Bank, N.A., as Administrative Agent thereunder [Date] Ladies and Gentlemen: This opinion is furnished to you pursuant to Section 3.01(a)(iii) of the Credit Agreement, dated as of April 4, 2008 (the “Credit Agreement”) among AEP Texas Central Company, AEP Texas North Company, American Electric Power Company, Inc., Appalachian Power Company, Columbus Southern Power Company (“CSPC”), Indiana Michigan Power Company, Kentucky Power Company, Ohio Power Company (“OPC”), Public Service Company of Oklahoma and Southwestern Electric Power Company (collectively, the “Borrowers”), the Lenders party thereto, the LC Issuing Banks party thereto and JPMorgan Chase Bank, N.A., as Administrative Agent for the Lenders and LC Issuing Banks. Terms defined in the Credit Agreement are used herein as therein defined. I am an Associate General Counsel for American Electric Power Service Corporation, an affiliate of the Borrowers, and have acted as counsel to the Borrowers in connection with the preparation, execution and delivery of the Credit Agreement. I am generally familiar with the Borrowers’ corporate history, properties, operations and charter (including amendments, restatements and supplements thereto).
