Formation and Continuation. The parties to this Agreement (the "Partners") hereby form a general partnership (the "Partnership") under the Uniform Partnership Act of the State of Delaware (the "Act"). The rights and liabilities of the Partners shall be as provided in the Act, except as expressly provided in this Agreement.
