Common use of Formation of Partnership Clause in Contracts

Formation of Partnership. The Partners hereby confirm the formation and establishment of a limited partnership under the terms and provisions of this Agreement and the provisions of the Delaware Act, and the rights and liabilities of the Partners shall be as provided in this Agreement and in the Delaware Act. Concurrently with the execution of the Original Agreement by VF Delaware, VF, Cogentrix GP and Cogentrix LP, VF Delaware and Cogentrix GP executed and filed with the Office of Secretary of State of the State of Delaware a Certificate of Limited Partnership in accordance with Section 17-201 of the Delaware Act, in form and substance satisfactory to both VF Delaware and Cogentrix GP.

Concurrently with or prior to the execution of the Original this Agreement by Agrorent A , and VF Delaware, VF, Cogentrix GP Agrorent A and Cogentrix LP, VF Delaware and Cogentrix GP shall or shall have executed and filed with the Office of Secretary of State of the State of Delaware a Certificate of Limited Partnership in accordance with Section 17-201 17201 of the Delaware Act, in form and substance satisfactory to both Agrorent A and VF Delaware and Cogentrix GPDelaware.
